Sabina Public Company Limited (Company)

Sabina Public Company Limited (formally known as J&D Apparel Public Company Limited) was established since August 17,1985 with registered capital of Baht 1 million, divided into 1,000 common shares with par value of Baht 1,000 each. As of May 18, 2007 the Company has registered capital of Baht 295 million, divided into 59 million common shares with par value of Baht 5 each.

The Company produces and sells lingerie to subsidiaries and OEM customers in the United States, Europe and Scandinavian countries, etc. The Company initially produced and sold OEM products to subsidiaries that received orders from the end customers. The subsidiaries operated lingerie business for a long time and are well-known among overseas customers. The Company sold OEM products directly to customers without going through subsidiaries after becoming well-known. Revenue from selling OEM products is the major contributor of the Company’s revenue, which accounted for 60.46% and 54.89% of the Company’s consolidated revenue of the financial statement for the year 2006 and 2007, respectively. Presently, the Company has two factories with total production capacity of 8.65 million pieces per annum. The Board of Investment (BOI) awarded investment privilege for both factories. Chainart factory, which is also the Company’s head office, has total production capacity of 2.79 million pieces per annum and Yasothon factory has total production capacity of 5.86 million pieces per annum. Moreover, the Company has established “Informal Educational Service Center” for high school education namely “Sabina Public Company Limited Educational Center” in Yasothon factory area in 2006 to provide education in high school level. The Company has also established occupational school “Labor Training Center according to Labor Development Act B.E.2545” to educate tailor profession to interested people. Other than to produce skilled labor, the project aimed to improve standard of living and financial condition of the people in the province. Presently, the Company and subsidiaries have over 4,700 employees. The Company also coordinates with Yasothon and Muang District Informal educational Service Center to open Associate Degree Program in Apparel and Clothing. The evaluator has preliminarily approved the program.

Sabina Fareast Company Limited (Subsidiaries)

Sabina Fareast Company Limited was established since January 11, 1977 with registered capital of Baht 1 million, divided into 1,000 common shares with par value of Baht 1,000 each. The Subsidiaries currently has registered capital of Baht 145 million, divided into 1,450,000 common shares with par value of Baht 100 each.

The Subsidiaries designs, produces and sells lingerie. The Subsidiaries’ business can be divided into 2 broad categories:

1. Designing, producing and distributing lingerie under the Subsidiaries’ own brands such as Sabina, Sabinie, SBN, Moldern Soft by Sabina, Moldern Curve by Sabina, Doomm Doomm, Viora, etc. to both local and overseas customers.
2. Designing, producing and distributing lingerie according to the customers’ orders who are the overseas lingerie distributors (OEM) in the United States, Europe and Scandinavian countries, etc.

Sales under the Subsidiaries’ own brands are the major revenue source for the Subsidiaries. Other than distribution via department stores in Bangkok and provinces, the Subsidiaries also sell lingerie under the brands SABINA, SABINIE, and SBN, which are registered brands overseas, in overseas markets as well. For the overseas distribution under the Subsidiaries’ own brand, the Subsidiaries sells lingerie to the distributors who would mainly offer the products in department stores such as in Singapore. The Company also sells products to importers in other countries such as Myanmar, Brunei and Turkey for further distribution.

The Subsidiaries currently has 2 factories with total production capacity of 3.87 million pieces per annum. The Nakorn Pathom factory has production capacity of 1.81 million pieces per annum, and the Bangkok factory has production capacity of 2.06 million pieces per annum.
